Private Limited Company Annual Compliance Checklist FY 2026-27

Running a private limited company in India comes with a comprehensive set of annual compliance obligations. Missing even one filing can attract penalties, late fees, and in serious cases, disqualification of directors. This checklist covers every major compliance requirement for FY 2026-27.

Why Annual Compliance Matters

The Companies Act, 2013 and the Income Tax Act impose strict filing deadlines on private limited companies. Non-compliance consequences include:

  • Late fees on MCA filings (₹100/day per form, no cap for most forms)
  • Director disqualification under Section 164(2) for non-filing of annual returns for 3 consecutive years
  • Strike-off of the company by the Registrar of Companies
  • Income tax penalties and interest for late filing
  • GST penalties and suspension of registration

Part 1: Board & Shareholder Meetings

Board Meetings

  • Minimum 4 board meetings per year, with not more than 120 days gap between two consecutive meetings
  • First board meeting must be held within 30 days of incorporation
  • Notice: 7 days' advance notice to all directors (shorter notice with consent)
  • Quorum: 1/3rd of total directors or 2 directors, whichever is higher
  • Minutes: Must be recorded and signed within 30 days of the meeting

Annual General Meeting (AGM)

  • Must be held within 6 months of the end of the financial year (i.e., by September 30 for FY 2025-26)
  • First AGM: within 9 months of the end of the first financial year
  • Notice: 21 clear days' advance notice to all members
  • Business at AGM: Adoption of financial statements, declaration of dividend, appointment/reappointment of directors, appointment of auditors

Part 2: ROC / MCA Annual Filings

Form AOC-4 — Financial Statements

  • Purpose: Filing of audited financial statements (Balance Sheet, P&L, Directors' Report, Auditor's Report)
  • Due date: Within 30 days of the AGM (i.e., by October 30 if AGM is held on September 30)
  • Late fee: ₹100/day (no maximum cap)

Form MGT-7 / MGT-7A — Annual Return

  • Purpose: Annual return containing details of shareholders, directors, share capital, and other company information
  • MGT-7: For companies with paid-up capital ≥ ₹10 crore or turnover ≥ ₹50 crore
  • MGT-7A: For small companies and OPCs (simplified form)
  • Due date: Within 60 days of the AGM (i.e., by November 29 if AGM is September 30)
  • Late fee: ₹100/day

Form ADT-1 — Auditor Appointment

  • Purpose: Intimation of auditor appointment to the Registrar
  • Due date: Within 15 days of the AGM
  • Applicable: When a new auditor is appointed or reappointed

Form DIR-3 KYC — Director KYC

  • Purpose: Annual KYC of all directors holding a DIN
  • Due date: September 30 of every year
  • Late fee: ₹5,000 if filed after September 30 (DIN is deactivated until KYC is done)

Part 3: Income Tax Compliance

Income Tax Return — ITR-6

  • Due date (without audit): July 31, 2026 (for FY 2025-26)
  • Due date (with tax audit): October 31, 2026 (for FY 2025-26)
  • Late filing fee: ₹5,000 (₹1,000 if total income ≤ ₹5 lakh)

Tax Audit — Form 3CA/3CB + 3CD

  • Applicable: If turnover exceeds ₹1 crore (₹10 crore if cash transactions ≤ 5%)
  • Due date: September 30, 2026 (for FY 2025-26)
  • Conducted by: Chartered Accountant

Advance Tax

Payable in 4 instalments if estimated tax liability exceeds ₹10,000:

  • Applicable on: Salary (192), contractor payments (194C), professional fees (194J), rent (194I), interest (194A), and others

PF & ESI (if applicable)

  • PF: Monthly deposit by 15th; ECR filing by 25th
  • ESI: Monthly deposit by 15th; half-yearly return by May 11 and November 11

Statutory Registers

Maintain and update:

  • Register of Members (MGT-1)
  • Register of Directors (MBP-1)
  • Register of Charges (CHG-7)
  • Minutes Books (Board and General Meetings)
  • Register of Contracts (MBP-4)

Registered Office

Ensure the registered office address is current on MCA records. Any change must be filed in Form INC-22 within 30 days.
